# Partner API Terms of Service

> Terms governing access to and use of the Centaur Partner Platform.

## 1. About these Terms

These Partner API Terms of Service (the "Terms") govern access to and use of the Centaur partner data platform, including the REST API and the MCP server at [https://partners.centaur.io/docs/guides/quickstart](https://partners.centaur.io/docs/guides/quickstart), the partner documentation, and any related credentials, tools or software made available by Centaur for programmatic access (together, the "Partner Platform").

These Terms form a binding agreement between CHRONOS LABS PTE. LTD., a company incorporated in the Republic of Singapore and trading as Centaur ("Centaur", "we", "us"), and the organisation on whose behalf the Partner Platform is accessed ("Partner", "you"). By requesting credentials, authenticating to the Partner Platform, or accessing it in any way, you accept these Terms. If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation.

The Partner Platform is intended solely for business use by organisations. It is not offered to consumers. Individual consumer use of Centaur's products is governed instead by the Centaur Terms of Use and the Centaur Privacy Policy.

**Precedence.** Where you and Centaur have entered into a separate signed agreement covering access to the Partner Platform, such as a master services agreement, data licence or order form (an "Order Form"), that agreement prevails over these Terms to the extent of any conflict. These Terms apply in full to any matter the signed agreement does not address, and apply in their entirety where no signed agreement is in place.

## 2. Definitions

* **"Centaur"** means CHRONOS LABS PTE. LTD., a company incorporated in the Republic of Singapore, whose registered office is at 1 Irving Place #08-11, The Commerze\@Irving, Singapore 369546. "Centaur" is the trading name and brand under which the company operates the Partner Platform.
* **"Centaur Data"** means all data, content and materials made available through the Partner Platform, comprising Derived Data and Source Content.
* **"Derived Data"** means data generated by Centaur from its own analysis, including classified trade events, positions and open positions, trader and asset statistics, trader rankings, activity summaries, generated narrative summaries, and trader and asset directory records. Derived Data is the output of Centaur's proprietary methodology and models.
* **"Source Content"** means material originating from a Source Platform and surfaced through the Partner Platform, including source-message text, attachments, links to original posts, and source account identifiers such as handle, display name, platform account identifier, profile image and audience or follower counts.
* **"Source Platform"** means a third-party platform from which Centaur collects publicly available content, currently Telegram and X, operated by X Corp.
* **"Trader"** means a third-party author of publicly available content whose material Centaur collects, classifies or ranks. Traders are not parties to these Terms and have no relationship with Centaur.
* **"Partner Application"** means any product, service, application, agent, model or internal system through which you access or use Centaur Data.
* **"End User"** means any person to whom you make Centaur Data available through a Partner Application.
* **"Credentials"** means REST API keys, OAuth tokens, client registrations and any other means of authenticating to the Partner Platform.
* **"Documentation"** means the partner documentation published at [https://partners.centaur.io/docs](https://partners.centaur.io/docs), as updated from time to time.

## 3. Access and Credentials

**Authentication.** REST access is authenticated using a Centaur API key supplied in the x-api-key request header. MCP access is authenticated using OAuth in supported clients, and is available only to signed-in users whose Centaur account is active and email-verified.

**Scopes.** Credentials are scoped to the read families enabled for your account, which may include directory.read, feed.read, events.read, messages.read, summaries.read, positions.read and stats.read. A valid credential may be unauthorised for a family it does not cover, and such requests will be refused. You must not attempt to access any family for which your credentials are not scoped.

**Read-only.** The Partner Platform provides read-only access. You must not attempt to write to, alter or delete data held by Centaur through the Partner Platform.

**Security.** You are responsible for keeping Credentials confidential. You must not embed API keys in client-side code, mobile applications, public repositories or any location accessible to third parties. You must not share, sell, sublicense or transfer Credentials. You must restrict access to Credentials to personnel who need it, maintain reasonable technical and organisational security measures, and notify Centaur without undue delay at [support@centaur.io](mailto:support@centaur.io) on becoming aware of any actual or suspected compromise.

**Responsibility.** You are responsible for all activity conducted using your Credentials, whether or not authorised by you, and for the acts and omissions of your personnel, contractors and End Users in connection with Centaur Data.

**Revocation.** Removing a connected MCP application revokes that application's access but does not delete REST API keys. You are responsible for rotating or deleting keys that are no longer required.

## 4. Licence Grant

### 4.1 Derived Data

Subject to these Terms, your Order Form and payment of applicable fees, Centaur grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide licence during the term to access Derived Data through the Partner Platform and to use, reproduce and display Derived Data within a Partner Application, including displaying Derived Data to your End Users.

### 4.2 Source Content

Subject to these Terms, your Order Form, and Section 4.3, Centaur grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide licence during the term to access Source Content through the Partner Platform and to display Source Content to your End Users solely for the purpose of allowing them to verify or audit Derived Data, and subject to all of the following conditions:

* Source Content must be displayed with attribution to its author and, where a link to the original post is available, alongside that link.
* Source Content must be displayed in unaltered form. You must not edit, paraphrase, translate, annotate or combine Source Content in a way that changes its meaning or misattributes it.
* You must not retain Source Content for longer than necessary to operate the Partner Application, and in any event must delete or refresh cached Source Content in accordance with Section 8.
* You must not compile, retain or export Source Content in bulk, or assemble a standing corpus of Source Content, whether or not for onward use.
* You must not redistribute, resell, syndicate, license or otherwise make Source Content available to any third party other than your own End Users through the Partner Application.

### 4.3 Source Platform pass-through and narrowing right

Centaur's ability to make Source Content available to you is derived from, and limited by, the terms on which Centaur accesses each Source Platform. The licence in Section 4.2 therefore extends only so far as the terms of the relevant Source Platform permit, and is granted subject to those terms. Where the terms of a Source Platform are more restrictive than Section 4.2, those terms prevail.

Centaur may narrow, suspend or withdraw the licence in Section 4.2, in whole or in part and in respect of any Source Platform, immediately and without notice, where Centaur reasonably considers this necessary to comply with the terms of a Source Platform or with a request or direction from a Source Platform operator. Centaur will have no liability to you for any such narrowing, suspension or withdrawal, and it will not constitute a breach of these Terms or of any Order Form by Centaur.

### 4.4 Reservation of rights

Centaur and its licensors retain all right, title and interest in the Partner Platform, the Documentation, Centaur Data, and Centaur's methodology, models, classifiers, scoring logic and know-how. No rights are granted other than those expressly set out in these Terms. No ownership of any Centaur Data passes to you. Nothing in these Terms grants you any right in any Source Platform's trade marks, or in any Trader's name, likeness or content, beyond the limited display right in Section 4.2.

## 5. Restrictions

You must not, and must not permit any person to:

* Use Centaur Data, alone or in combination with any other source, as training, fine-tuning, distillation, evaluation, validation, benchmarking or reinforcement data for any machine learning model, artificial intelligence system, classifier or statistical model, including in particular any system that identifies, extracts, classifies or infers trading activity, positions, sentiment or performance from text. This restriction applies to Derived Data and Source Content, whether used separately or as paired inputs and labels.
* Build, train or operate any product, dataset or service that competes with, substitutes for, or is designed to replicate the Partner Platform or Centaur's methodology.
* Reverse engineer, decompile, disassemble, or attempt to derive the structure, logic, weights, thresholds or parameters of Centaur's models or classification methodology, including by systematic probing, differential testing or statistical inference from outputs.
* Extract, download, scrape, harvest or copy Centaur Data in bulk, or by any means other than the documented interfaces, or in volumes or patterns whose purpose or effect is the assembly of a substitute dataset.
* Circumvent, disable or attempt to exceed any rate limit, quota, page size, scope restriction or other technical control, including by rotating or provisioning multiple credentials or accounts.
* Re-identify, deanonymise, enrich, cross-reference or append to any Trader record, or combine Trader data with any other dataset in order to build a profile of an identifiable individual beyond what the Partner Platform provides.
* Use Centaur Data to contact, target, solicit, harass, surveil or make decisions about any Trader or other individual.
* Use Centaur Data for any purpose that would require a licence Centaur does not hold, or in any manner that breaches applicable law or the terms of any Source Platform.
* Remove, obscure or alter any attribution, disclaimer, watermark, notice or link required by these Terms.
* Sublicense, resell, syndicate, lease, lend, or make Centaur Data available on any file-sharing, marketplace, data-exchange or resale platform.
* Represent Centaur Data as your own proprietary data, or represent that Centaur endorses, certifies or is affiliated with a Partner Application.
* Use Centaur Data to make or support any automated decision producing legal effects concerning an individual, or any decision concerning credit, insurance, employment, housing, or eligibility for a service.

## 6. Rate Limits and Fair Use

The Partner Platform is subject to rate limits and result limits described in the Documentation. As at the date of these Terms these include a default limit of 1,000 requests per rolling one-hour window per key, a maximum list size of 200 records, a partner feed maximum of 100 source-message groups per request, a maximum of 200 identifiers per statistics batch, and aggregate results of at most 50 rows or groups without pagination. Limits vary by account and environment and may change.

You must handle throttling responses with reasonable retry and backoff behaviour, must not retry aggressively in a manner that compounds load, and must not design a Partner Application whose normal operation depends on exceeding published limits. Centaur may throttle, suspend or reduce access where usage threatens the stability, security or performance of the Partner Platform, or where usage patterns are inconsistent with the licence granted.

## 7. Attribution and End User Disclosures

Where a Partner Application displays Centaur Data to End Users, you must attribute Centaur clearly and legibly on each surface where Centaur Data appears, in a form Centaur may specify from time to time.

Because your End Users are not party to Centaur's own terms, you must also present to your End Users, clearly and proximate to the Centaur Data displayed, disclosures to the effect that: the information is provided for informational purposes only and is not financial, investment, legal or tax advice; trade events, positions, statistics and rankings are automatically generated estimates that are not audited and are not confirmed with any Trader, and may be incomplete or inaccurate; past performance, whether actual or estimated, is not indicative of future results; and Traders are not employees, agents or representatives of Centaur or of you, and their inclusion does not imply any endorsement.

You must not present Centaur Data in a way that states or implies that it constitutes a recommendation, a signal to trade, a solicitation, or advice, or that any outcome is assured.

## 8. Deletion, Suppression and Corrections

Source Content may be deleted, edited, restricted or made private by its author or by a Source Platform at any time, and Centaur may accept requests from Traders to be corrected or removed. You must therefore:

* Poll or consume any deletion, suppression or change signal Centaur makes available, at the frequency stated in the Documentation, and refresh or re-validate Centaur Data accordingly.
* On becoming aware, whether from Centaur or otherwise, that a Trader has been removed or suppressed, or that Source Content has been deleted or restricted, cease displaying the affected material and delete it from your systems and caches within seventy-two hours, or sooner if Centaur notifies you that a shorter period is required by a Source Platform or by applicable law.
* Not reinstate, reconstruct or continue to display material that has been removed or suppressed, and not rely on an archived or cached copy to do so.
* Confirm to Centaur on reasonable request that you have complied with a specific removal or suppression notice.

Centaur may suspend access under Section 12 where you fail to give effect to a removal or suppression notice.

## 9. Data Protection

Centaur Data includes personal data relating to Traders, who are identifiable individuals and who are not your customers or Centaur's users. You acknowledge that:

* Centaur acts as a controller in respect of its own collection and processing of Trader personal data, as described in the Centaur Partner Privacy Policy.
* On receipt, you act as an independent controller in respect of your own use of Trader personal data. You are not Centaur's processor for that purpose, and Centaur is not yours.
* You are responsible for establishing and documenting your own lawful basis for processing Trader personal data, for providing any notice or transparency information your own processing requires, for responding to requests you receive from Traders, and for maintaining appropriate security.
* You must cooperate with Centaur, promptly and in good faith, in giving effect to any objection, erasure, rectification or restriction request that Centaur accepts from a Trader, in accordance with Section 8.
* You must notify Centaur without undue delay at [support@centaur.io](mailto:support@centaur.io) of any personal data breach affecting Centaur Data in your possession, and of any complaint, objection or regulatory contact you receive concerning Trader personal data obtained from Centaur.

Where you transfer personal data to Centaur, for example the contact details of your personnel, Centaur processes it as described in the Centaur Partner Privacy Policy. Where either party requires data protection terms in addition to this Section, the parties will enter into a data processing addendum or controller-to-controller terms as appropriate.

## 10. Accuracy, Methodology and No Advice

Centaur Data is generated automatically and is provided for informational purposes only. Centaur is not a broker, dealer, exchange, investment adviser, financial adviser or fiduciary, and nothing made available through the Partner Platform constitutes financial, investment, legal, tax or accounting advice, a recommendation, or a solicitation to transact.

You acknowledge in particular that: trade events are classified by automated systems and may be inferred, retrospective or system-generated rather than directly extracted; commentary that lacks a clear asset, direction and action does not become a structured trade event and will not appear; performance is evaluated over fixed windows rather than actual position close times, and therefore does not represent realised results; displayed values exclude fees, slippage, funding costs, taxes and position sizing; results falling outside current access or eligibility rules may be omitted from a response rather than flagged; and absent performance values are returned with a status and must be treated as missing data rather than as a zero return.

You are solely responsible for determining whether Centaur Data is suitable for your purposes, for any independent verification you consider necessary, and for any decision taken by you or your End Users in reliance on it.

## 11. Fees

Fees, usage entitlements, tiers, invoicing arrangements and payment terms are as set out in your Order Form. Unless the Order Form says otherwise, fees are exclusive of taxes, which you must pay in addition, and invoices are payable within thirty days of the invoice date. Centaur may suspend access under Section 12 where an undisputed invoice remains unpaid after written notice.

Where Centaur provides access at no charge, for evaluation, trial, pilot or goodwill purposes, that access is provided without any commitment as to availability or continuity, may be modified or withdrawn at any time without notice, and carries the reduced liability cap in Section 15.

## 12. Term, Suspension and Termination

These Terms apply from your first access to the Partner Platform and continue until terminated. Where an Order Form specifies a term, that term governs the paid access it covers.

**Suspension.** Centaur may suspend or restrict your access immediately, in whole or in part, where Centaur reasonably believes that you are in breach of these Terms, that your usage threatens the security, stability or integrity of the Partner Platform, that suspension is required to comply with applicable law or with the terms of or a direction from a Source Platform, that you have failed to give effect to a removal or suppression notice, or that an undisputed invoice remains unpaid after notice.

**Termination.** Either party may terminate for material breach that remains uncured thirty days after written notice. Centaur may terminate no-fee access at any time. Either party may terminate for convenience on thirty days' written notice, subject to any minimum term in an Order Form.

**Effect of termination.** On termination or expiry you must immediately cease all access to and use of the Partner Platform, cease displaying all Centaur Data, and within thirty days delete all Centaur Data in your possession or control, including from caches, backups and derived datasets, other than material you are required by law to retain. You must certify deletion in writing on Centaur's reasonable request. Sections 4.4, 5, 9, 10, 14, 15, 16, 17 and 18 survive termination.

## 13. Changes to the Partner Platform and to these Terms

The Partner Platform is under active development. Centaur may add, change, deprecate or remove endpoints, tools, fields, scopes, limits and behaviours at any time. Centaur will use reasonable efforts to give advance notice of changes it considers materially breaking, through the Documentation or changelog, but may make changes without notice where required for security, legal compliance, or compliance with a Source Platform. You are responsible for monitoring the Documentation and changelog and for maintaining your integration.

Centaur may amend these Terms by publishing an updated version with a revised Last Updated date. Where an amendment is material, Centaur will use reasonable efforts to notify you. Continued access after the amendment takes effect constitutes acceptance. If you do not accept an amendment, you must cease access and may terminate under Section 12.

## 14. No Warranty

The Partner Platform, the Documentation and all Centaur Data are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Centaur disclaims all warranties, conditions and representations, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, or accuracy, completeness, currency, reliability or availability of Centaur Data.

Centaur does not warrant that the Partner Platform will be uninterrupted, timely, secure or error-free, that any defect will be corrected, that any particular Source Platform integration will be maintained, or that Centaur Data will be free of omissions or misclassification. No service level or uptime commitment applies unless expressly stated in an Order Form.

## 15. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profits, revenue, business, opportunity, anticipated savings, goodwill, or data, however arising and whether or not foreseeable.

To the maximum extent permitted by law, Centaur's total aggregate liability arising out of or in connection with these Terms and any Order Form, whether in contract, tort, including negligence, or otherwise, is limited to the total fees actually paid by you to Centaur under the applicable Order Form in the twelve months immediately preceding the event giving rise to the claim. Where no fees have been paid, Centaur's total aggregate liability is limited to one hundred United States dollars.

The limitations in this Section do not apply to your payment obligations, to your obligations under Section 16, to either party's liability for fraud or fraudulent misrepresentation, or to any liability that cannot lawfully be limited. Your breach of Section 4, Section 5 or Section 9 is not subject to the cap in this Section.

## 16. Indemnity

You will indemnify, defend and hold harmless Centaur and its affiliates, and their respective officers, directors, employees and agents, from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or in connection with: your access to or use of the Partner Platform or Centaur Data; any Partner Application; any claim brought by an End User, including any claim relating to reliance on Centaur Data or to financial loss; any breach by you of these Terms, of applicable law, or of the terms of a Source Platform; your processing of Trader personal data, including any claim or regulatory action brought by or in respect of a Trader; and any failure by you to give effect to a removal or suppression notice.

## 17. Confidentiality

Each party may receive non-public information of the other that is designated confidential or would reasonably be understood to be confidential, including Credentials, non-public Documentation, pricing, roadmap and methodology information. The receiving party will use it only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisers who need it and are bound by equivalent obligations, or as required by law with prompt notice where lawful. These obligations continue for three years after disclosure, and indefinitely for information constituting a trade secret.

## 18. General

**Assignment.** You may not assign or transfer these Terms or any rights under them, including by operation of law or change of control, without Centaur's prior written consent. Centaur may assign these Terms to an affiliate or in connection with a merger, reorganisation or sale of assets.

**Independent parties.** Nothing in these Terms creates a partnership, joint venture, agency or employment relationship, and neither party may bind the other.

**Publicity.** Neither party may use the other's name, logo or marks in publicity without prior written consent, except that Centaur may identify you as a partner in customer lists and similar materials unless you notify Centaur otherwise in writing.

**Force majeure.** Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of government, network or infrastructure failure, and the acts, omissions or access decisions of a Source Platform operator.

**Severability and waiver.** If any provision is held invalid or unenforceable, it is severed and the remainder continues in full effect. A failure or delay in exercising a right is not a waiver of it.

**Entire agreement.** These Terms, together with any Order Form and the Documentation referenced in them, constitute the entire agreement between the parties in respect of the Partner Platform and supersede all prior discussions and representations. Any purchase order terms or other terms submitted by you are of no effect.

**Governing law and disputes.** These Terms are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore in respect of any dispute arising out of or in connection with these Terms. Nothing prevents either party from seeking urgent injunctive or equitable relief in any competent court to protect its confidential information or intellectual property.
